These Terms of Service (“Terms”) govern your use of crestprospect.com (the “Website”) and the digital marketing services provided by Crest Prospect (“Crest Prospect”, “we”, “us” or “our”). By accessing the Website or engaging us for services, you agree to these Terms. If you do not agree, please do not use the Website or our services.

Crest Prospect is a digital marketing agency based at 341/A, Rajiv Gandhi Street, Nagercoil – 629003, Tamil Nadu, India. Legal entity name: Crest Prospect Private Limited. Our services include search engine optimization, search engine marketing, content marketing, display advertising, social media management, social media advertising, web development, conversion optimization and marketing analytics (together, the “Services”).

2. Use of the Website

You may use the Website for lawful purposes only. You agree not to:

• use the Website in a way that breaks any law or regulation
• attempt to gain unauthorised access to the Website, our systems or other users’ data
• introduce viruses, malware or other harmful code
• scrape, copy or republish our content in bulk without written permission
• send spam or misleading enquiries through our forms
• interfere with the normal operation of the Website

We may suspend or restrict access to the Website at any time, for any reason, without notice.

3. Engaging us for Services

Browsing the Website or booking a strategy call does not create a client relationship. Our Services begin only when you and Crest Prospect agree on a proposal, statement of work or service agreement in writing (a “Service Agreement”). If these Terms conflict with a signed Service Agreement, the Service Agreement applies to that engagement.

Strategy calls are for discussion only. Any ideas, estimates or recommendations shared on a call are not a commitment to deliver specific work or results.

4. No guarantee of results

Digital marketing outcomes depend on many factors outside our control, including search engine and advertising platform algorithms and policies, competition, market conditions, your product, pricing, website, sales process and budget. We work to deliver strong results and share transparent reporting, but we do not guarantee any specific ranking, traffic level, lead volume, conversion rate, return on ad spend or revenue figure. Statements on the Website about growth, leads or revenue describe our approach and goals and are not promises of a particular outcome. Examples of past work and client feedback reflect individual client situations and may not be typical.

5. Client responsibilities

To deliver the Services well, you agree to:

• give us accurate and complete information, and timely access to the accounts, websites, analytics, advertising platforms and assets we need
• review and approve work, content and campaigns within a reasonable time
• make sure you own or have the right to use all materials you give us, including logos, images, text and data
• make sure your products, services, claims and offers comply with applicable laws and advertising platform rules
• keep your own accounts secure and tell us promptly if access changes

Delays in providing access, feedback or approvals may delay the Services and results, and we are not responsible for resulting delays.

6. Fees, ad spend and payment

Fees are set out in your Service Agreement. Unless the Service Agreement says otherwise:

• invoices are payable within [15] days of the invoice date
• fees are exclusive of applicable taxes, including GST, which will be added where required
• media and advertising spend paid to platforms such as Google, Meta or LinkedIn is separate from our fees and is your responsibility, whether paid by you directly or passed through by us
• third-party tool, software, stock asset or hosting costs are charged separately unless included in the agreed scope
• late payments may attract interest at [1.5]% per month, and we may pause Services until overdue amounts are paid
• fees already paid are non-refundable, except as stated in your Service Agreement or required by law

7. Third-party platforms and tools

Our Services rely on third-party platforms and tools, including search engines, advertising networks, social networks, analytics, hosting and content management systems. These providers set their own terms, policies, pricing and algorithms, which can change without notice and which we do not control. We are not liable for account suspensions, ad disapprovals, policy changes, outages, data loss or other actions by third parties, though we will help you respond to them where reasonably possible.

8. Intellectual property

Our materials. The Website and its content, including text, graphics, logos, design, layout and code, belong to Crest Prospect or its licensors and are protected by intellectual property laws. You may not copy, reproduce or use them without our written permission, except for personal, non-commercial viewing.

Client deliverables. Unless your Service Agreement says otherwise, once you have paid all fees due, you own the final custom deliverables created specifically for you, such as written content, designs and landing pages. We keep ownership of our pre-existing tools, templates, frameworks, processes, know-how and general methods, and we grant you a licence to use them as part of the deliverables.

Your materials. You keep ownership of all materials you give us. You grant us a limited licence to use them to provide the Services.

Portfolio. Unless you tell us in writing not to, we may mention your name and logo and describe the work we did for you in our portfolio, case studies and marketing materials. We will not publish confidential information or private performance data without your approval.

9. Confidentiality

Each party will keep the other’s non-public business information confidential, use it only for the purposes of the engagement, and not disclose it to anyone except employees, contractors and advisers who need to know and are bound by confidentiality duties. This does not apply to information that is public, already known to the receiving party, independently developed, or required to be disclosed by law.

10. Data protection

We handle personal data in line with our Privacy Policy and applicable data protection law. Where we process personal data on your behalf, you are responsible for having a lawful basis and any required notices and consents for that data, and we will process it only on your documented instructions and the Service Agreement.

11. Disclaimer of warranties

The Website and the Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we do not make any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement or uninterrupted or error-free operation. Information on the Website, including blog articles, is for general information and is not professional legal, financial or tax advice.

12. Limitation of liability

To the fullest extent permitted by law:

• Crest Prospect will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill, data or opportunity, arising from your use of the Website or the Services
• our total liability for any claim arising out of the Services will not exceed the fees you paid to us for the Services in the [three (3)] months before the event giving rise to the claim

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.

13. Indemnity

You agree to indemnify and hold harmless Crest Prospect and its team from claims, losses and expenses, including reasonable legal fees, arising from materials you provide, your products or services, your breach of these Terms or the law, or your misuse of the Services.

14. Term and termination

Either party may end an engagement as set out in the Service Agreement. If the Service Agreement does not set a notice period, either party may end the engagement by giving [60] days’ written notice. You must pay for Services performed and costs incurred up to the termination date. We may suspend or end the Services immediately if you do not pay, breach these Terms, or use the Services unlawfully. On termination, we will hand over final deliverables you have paid for and return access to your accounts, and the confidentiality, intellectual property, payment, liability and governing law sections continue to apply.

15. Links to other websites

The Website may link to third-party websites. We do not control them and are not responsible for their content, accuracy or privacy practices. A link does not mean we endorse the site.

16. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, power or internet outages, platform outages, government action, strikes or pandemics. This does not excuse payment of amounts already due.

17. Governing law and disputes

These Terms are governed by the laws of India. We encourage you to contact us first so we can try to resolve any dispute in good faith. If we cannot, the courts at [Nagercoil, Tamil Nadu] will have exclusive jurisdiction, [or, if your Service Agreement provides for arbitration, disputes will be resolved as set out there].

18. Changes to these Terms

19. General

These Terms, together with any Service Agreement and our Privacy Policy, are the entire agreement between you and us for their subject matter. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver of it. You may not assign your rights under these Terms without our written consent.
